By accessing or using raster.art (the "Platform"), you enter into a binding agreement with Le Random Labs, Inc. ("Raster," "we," "our," or "us"). If you do not agree to these Terms of Service ("Terms"), you may not use the Platform.

Raster operates as a non-custodial marketplace where users can buy and sell NFTs directly through blockchain transactions. We facilitate the display and discovery of NFTs but do not: Hold, custody, or control any digital assets, cryptocurrency, or NFTs, Execute, facilitate, or guarantee any transactions, Provide wallet services or maintain private keys, Verify the authenticity, ownership, or legal status of any NFT, Control smart contract functionality or blockchain operations.

All transactions occur directly between users through blockchain protocols and smart contracts operated by third parties.

You represent and warrant that you: Have the legal capacity to enter into binding contracts in your jurisdiction, Will comply with all applicable laws and regulations in your jurisdiction.

You agree not to: Use the Platform for any illegal purpose or in violation of any applicable laws, Engage in market manipulation, wash trading, or fraudulent activities, Upload, transmit, or display content that infringes intellectual property rights, Attempt to gain unauthorized access to the Platform or other users' accounts, Interfere with or disrupt the Platform's operation or security measures, Use automated tools to scrape data without express written permission, Impersonate any person or entity or misrepresent your affiliation.

Platform Rights: Raster retains all rights, title, and interest in the Platform, including but not limited to software, code, design elements, trademarks, and proprietary content. You may not copy, modify, distribute, or create derivative works based on the Platform without written consent.

NFT Content Rights: NFT metadata, images, and associated content displayed on the Platform are owned by their respective creators or rights holders. We do not claim ownership of NFT content and do not grant any licenses to such content. Your rights to any NFT are determined by the terms established by the original creator or issuing platform.

User Content: You retain all ownership rights to any content you submit to the Platform. By submitting content, you confirm that you have the necessary rights to do so and that such content does not infringe upon any third-party rights.

Blockchain Transaction Limitations: NFT blockchain records do not constitute legal guarantees of authenticity or ownership rights. Raster makes no warranties regarding the legal enforceability of blockchain transactions or permanent availability of linked content.

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

Technology Risks: You acknowledge that blockchain technology and NFTs involve inherent risks, including but not limited to: Smart contract vulnerabilities and failures (smart contracts operate autonomously beyond Raster's control and all blockchain transactions are irreversible), Network congestion and transaction delays, Permanent loss of access to digital assets, Regulatory uncertainty and potential changes in legal status, Volatility in digital asset values. Users bear sole responsibility for understanding blockchain risks including network congestion, gas fee volatility, and third-party protocol failures, and Raster cannot cancel, reverse, or refund any completed transaction.

Platform Disclaimers: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

Liability Limitation: Raster's total liability arising from your use of the Platform shall not exceed $100 or the amounts you paid to Raster in the preceding 12 months, whichever is greater.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RASTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE PLATFORM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Raster and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately, and these Terms shall remain in effect except for your license to use the Platform.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration and Jurisdiction: Disputes may be resolved through binding arbitration under JAMS rules or in Delaware federal or state courts. Either party may pursue small claims court or seek injunctive relief for intellectual property matters. You consent to personal jurisdiction in Delaware.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Modifications: We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a new "Last updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Raster regarding the Platform and supersede all prior agreements and understandings.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
